Dr Sir
Your letter relative to S E Lapham of this village has been received In which you say I assured you that there was no doubt I could collect the debt of the Waterloo Cotton Company against Lapham. In this you are mistaken I told you that I knew Lapham had a debt owe him of from $75 to $100 which I thought I could get hold of & apply in paying this demand of the Co & immediately in the receipt of the demand from you I took measures to procure this debt but before I could get a [payment?] against Lapham he disposed of this debt to another creditor I have obtained a [illegible] against him but he has [200] [property?] at present which can be [useless?] Lapham is at [illegible] & should he live will I think from time to time have means which maybe obtained, the only course further so is to keep watch of him They have a [profit?] & are in a situation to seize any property which he may hereafter regain better by [illegible] or by Industries before a [illegible] – Lapham I understand is anxious to [compromise?] with his creditors if he willl pay a reasonable [amount?] I think the co had better [compromise?] with him & release their demand, he has attempted to [illegible] to obtain a discharge of his debts by paying or offering to pay the trifling sum of 10 or 15 cent on a dollar which his creditors have very properly refused to accept
Yours & c
BM, Franklin"
